Terms of Service

Subscription terms, customer responsibilities, and liability for DingVoice.

Last updated: October 17, 2026

Agreement and service provider

DingVoice is provided by Jscriptech, MB, registered in the Lithuanian Register of Legal Entities under company code 305972924, with its business mailing address at V. Nagevičiaus g. 3, Vilnius, Lithuania (we, us, or the company). These Terms govern access to DingVoice accounting software and related services.

By accepting these Terms when registering or purchasing, you enter into an agreement with Jscriptech, MB. If you act for a business, you confirm you have authority to bind that business. DingVoice is intended for business use by adults with legal capacity to contract, including small businesses and freelancers. Mandatory consumer rights apply where you nevertheless qualify as a consumer under applicable law.

Our Privacy Policy explains how we handle personal data; it is a notice, not consent to optional processing. The Data Processing Agreement at /dpa forms part of these Terms whenever we process personal data on your behalf. An individually signed agreement prevails for the matters it expressly addresses; the DPA prevails on processor obligations.

Accounts and authorized use

Keep registration and billing details accurate, protect your credentials, manage workspace permissions, and notify support@dingvoice.com promptly about suspected unauthorized access. You are responsible for the actions you authorize in your workspace and for complying with applicable law.

We grant you a limited, non-exclusive right to use the service for your business during your plan, subject to these Terms and disclosed usage limits. We retain rights in the software, service design, and other materials we supply; you retain rights in your own content.

Subscriptions and billing

Paid plans (Starter, Pro, and Team) renew automatically for the billing period and price disclosed when you subscribe, until you cancel. Applicable taxes and any usage charges are disclosed before purchase. Free plans do not require payment.

A 14-day trial may be offered to eligible users; its duration, feature access, and eligibility are displayed in-product. A trial without payment details does not automatically become a chargeable subscription. A paid subscription requires your agreement to the applicable price and payment terms.

If you expressly enroll in a card-backed trial with automatic conversion, the price, billing frequency, conversion date, and cancellation method must be disclosed before you agree. Cancel before the trial ends to avoid conversion to a paid subscription under those disclosed terms. An earlier paid upgrade requires your agreement.

You may upgrade, downgrade, or cancel web subscriptions from Settings → Billing. Cancellation stops future renewals; access continues through the end of the paid period unless you request earlier deletion or suspension is justified under these Terms. The Refund & Cancellation Policy explains refunds and store purchases.

Mobile purchases through Apple App Store or Google Play are also subject to the respective store billing and cancellation terms. We may suspend paid features for overdue undisputed amounts after reasonable notice, subject to mandatory law.

Plan and service changes

Existing paid subscribers keep their agreed price through the current billing term. We give reasonable advance notice of material changes to price, packaging, or these Terms and any longer notice required by law. Changes to renewal prices take effect at a future renewal after notice; you may cancel before then.

We may improve, maintain, or discontinue features, but will not apply changes retroactively to remove accrued rights. Where a material reduction affects a prepaid service and the law requires a remedy, that remedy remains available. No availability, recovery time, feature permanence, or service-level guarantee applies unless expressly agreed in writing or required by law.

Your data and records

You retain ownership of business data you enter. You grant us and our service providers the rights needed to host, process, transmit, and display that data to provide and secure the service, follow your instructions, and comply with law, subject to the DPA where applicable.

You are responsible for lawful collection, accuracy, permissions, notices, and the instructions you give us. Upload only data needed for your business purpose. Do not submit special-category personal data, criminal-offence data, or payment card security codes unless a feature expressly supports that use and the necessary legal arrangements are in place.

Maintain independent copies of source documents and exports, verify that backups meet your needs, and comply with statutory recordkeeping requirements. Service storage and exports do not replace your own retention obligations. Available exports can be requested from Settings or privacy@dingvoice.com; scope, authorization, and applicable retention limits apply.

Accounting, payroll, tax, and AI tools

DingVoice supplies software tools, not professional accounting, audit, investment, tax, or legal advice. No accountant-client, fiduciary, or advisory relationship is created. DingVoice does not file taxes or remit payments to authorities. You remain responsible for submissions, payroll, payments, and deadlines unless a separate written agreement expressly provides otherwise.

Calculations, tax rates, templates, reports, forecasts, bank imports, OCR, and AI outputs may be incomplete, outdated, misclassified, or incorrect, including because of software defects or inaccurate source data. Beta features may change and have additional limitations. Review outputs against original records, reconcile balances, confirm local rules and rates, and obtain qualified professional advice before relying on them for filings, payments, or other material decisions.

Do not treat an import, extraction, generated document, or calculated result as an independent verification or compliance certification. You decide whether the service fits your jurisdiction and business needs. These responsibilities do not exclude our liability where the law makes us responsible.

Third-party services

Bank connections, payment processing, app stores, and other integrations depend on external providers and their terms. You authorize the data exchanges needed for integrations you enable and must review their permissions. External outages, data delays, or provider changes can affect results; review imported data before use. We remain responsible for our own obligations, including applicable processor duties under the DPA.

Acceptable use and suspension

Do not use DingVoice for unlawful accounting, tax evasion, fraud, infringement, or handling data without authority. Do not circumvent security or usage limits, access another user's data, distribute malware, interfere with service operation, or resell access without written permission.

We may restrict access or terminate for material breach, unlawful use, or security risk. Where practicable we explain the reason and allow a reasonable opportunity to remedy a breach; urgent protection of the service or compliance with law may require immediate action. Contact support to contest a restriction. We preserve export access where feasible and lawful, subject to security and retention constraints.

You may stop using the service and cancel at any time. After termination, use rights end; payment obligations already incurred, confidentiality, liability, dispute terms, and provisions intended to survive remain effective. The DPA governs return or deletion of personal data processed on your behalf.

Business customer indemnity

If you use DingVoice for business, you will indemnify Jscriptech, MB against third-party claims, finally awarded damages, approved settlements, and reasonable defense costs to the extent caused by your unlawful use, content that infringes third-party rights, or processing instructions you give without required authority. This does not cover loss caused by our breach, negligence, intentional misconduct, or a matter for which shifting liability is unlawful. It does not apply to consumers.

We must notify you promptly of a claim (delay reduces your obligation only to the extent it prejudices your defense), reasonably mitigate loss, and provide reasonable cooperation at your expense. You may control the defense using competent counsel; you cannot admit fault on our behalf or settle with non-monetary obligations or without a full release for us unless we consent, which we will not unreasonably withhold. We may participate with our own counsel at our expense. Liability cannot be recovered twice for the same loss.

Disclaimer and business liability limits

To the maximum extent permitted by applicable law, the service is supplied as available and as is, without implied warranties of uninterrupted operation, error-free results, merchantability, fitness for a particular purpose, or conformity with every accounting or tax rule. Express commitments in these Terms, the DPA, and mandatory statutory rights remain in effect.

For business customers, to the maximum extent permitted by law, Jscriptech, MB's total aggregate liability arising out of or relating to the service or these Terms, whether in contract, tort, or otherwise, is limited to the fees you paid us for the service during the twelve months immediately preceding the event giving rise to the claim. Related events count as one event; multiple claims do not multiply the cap.

For business customers, to the maximum extent permitted by law, we are not liable for indirect, incidental, special, or consequential losses, lost profit, revenue, opportunity, goodwill, or anticipated savings, or loss or corruption of data, arising from use of or inability to use the service, even if foreseeable. Mandatory rights to recovery remain unaffected by how a loss is described.

None of these exclusions, caps, disclaimers, or indemnity provisions limits or excludes liability for intentional misconduct or gross negligence, death or personal injury, fraud, mandatory consumer remedies, compensation rights of data subjects under data protection law, or any other liability that cannot lawfully be limited. They do not restrict a regulator's powers. If you qualify as a consumer, the business liability cap and business loss exclusions do not apply to you.

Your contract is with Jscriptech, MB. No member, manager, director, employee, or contractor personally guarantees performance or assumes contractual liability merely by acting for the company. To the extent legally permitted, contractual claims must be brought against the company; this does not protect anyone from their own non-excludable liability or override mandatory law.

Governing law and disputes

These Terms are governed by the laws of the Republic of Lithuania. Business disputes are subject to the competent courts of Lithuania. Contact legal@dingvoice.com first if you wish to seek an informal resolution; this is not a condition for exercising statutory rights or urgent remedies.

If you are a consumer, this choice does not deprive you of mandatory protections of the law of your habitual residence, or of any right to bring or defend proceedings in the courts available under applicable consumer law. Nothing in these Terms waives mandatory complaint or dispute-resolution rights.

If a provision cannot be enforced, it applies only to the extent lawful and the remaining provisions remain effective. Failure to enforce a provision is not a waiver of future enforcement.
